Access and use conditions for UNIGE HOROCARBON data

1. Definitions:
   1. "UNIGE Horocarbon Data" refers to data related to electricity consumption and carbon emission collected and owned by UNIGE using the UNIGE technology referenced under number 1152-A1111. Such data does not contain elements that directly identify or relate to any individual or natural person, such as personally identifiable information (PII) or any other data that can be used to identify individuals.
   2. "User" refers to any individual, organization, or entity accessing and utilizing the non-personal data.
   3. "User Consumption Data" refers to data related to User's consumption provided by User.
   4. "Results Data" refers to new results data generated by UNIGE using User Consumption Data.
2. Ownership and Intellectual Property:
   1. UNIGE retains all right, title, and interest in and to the UNIGE Horocarbon Data, including all intellectual property rights. These Conditions do not grant the User any ownership rights in the UNIGE Horocarbon Data. The User shall not modify, remove, or obscure any proprietary notices or copyright information contained within the UNIGE Horocarbon Data.
   2. User Consumption Data remains the property of User. User grants UNIGE the right to use the User Consumption Data for any purposes. UNIGE is prohibited from sharing the User Consumption Data in its raw form with any third parties unless it has been transformed into a compiled form.
   3. Results Data will be provided by UNIGE to the User and will be the property of the User.
3. Use of UNIGE Horocabon Data: The Recipient may use the UNIGE Horocarbon Data solely for its own commercial purposes, subject to the restrictions set forth in these Conditions.
4. License and Payment: UNIGE grants the User an unlimited non-exclusive, non-transferable, revocable license to access and use the UNIGE Horocarbon Data. The User agrees to pay UNIGE the price indicated on the website https://www.horocarbon.ch/ to access and use the UNIGE Horocarbon Data. The payment terms and conditions will be outlined in the invoice sent by UNIGE.
5. No warrenty: The UNIGE Horocarbon Data and Results Data are provided on an "as-is" basis, and UNIGE makes no warranties, express or implied, regarding the accuracy, reliability, or completeness of the UNIGE Horocarbon Data and the Results Data. UNIGE disclaims any and all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
6. Data Protection and Privacy: The User acknowledges that the UNIGE Horocarbon Data does not contain any personally identifiable information (PII) and agrees not to attempt to identify individuals from the non-personal data. The User agrees to comply with all applicable data protection and privacy laws and regulations in relation to the collection, processing, and storage of any personal data associated with UNIGE Horocarbon Data.
7. Compliance with Laws and Regulations: The User agrees to use the UNIGE Horocarbon Data in accordance with all applicable Swiss laws, regulations, including but not limited to data protection, privacy, and intellectual property laws.
8. Confidentiality: The User agrees to maintain the confidentiality of the UNIGE Horocarbon Data and not to disclose or make the data available to any third party without the prior written consent of UNIGE.
9. Liability and Indemnification: The User assumes full responsibility and liability for the use of the UNIGE Horocarbon Data. The User agrees to indemnify, defend, and hold harmless the UNIGE from any claims, damages, losses, or liabilities arising out of the User's use of the UNIGE Horocarbon Data.
10. Termination: UNIGE reserves the right to terminate the User's access to the UNIGE Horocarbon Data if the User breaches any of the conditions of use set out in this agreement. In the event of termination, the User will receive a written notice specifying the reasons for termination and a reasonable time to remedy any breaches, if possible. If the breaches are not remedied within the specified timeframe or if the breaches are considered irreparable, UNIGE may immediately terminate the User's access to UNIGE Horocarbon Data without further notice.
11. Governing Law and Jurisdiction: These conditions of use shall be governed by and construed in accordance with the laws of Switzerland. Any disputes arising out of or in connection with these conditions of use shall be subject to the exclusive jurisdiction of the Geneva courts.
